1. Acceptance of Terms

By creating an account, accessing, or using Cubelerbeans (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Cubeler Inc., a company incorporated under the laws of the Province of Quebec, Canada ("Cubeler," "we," "us," or "our"). If you do not agree to these Terms, you must not use the Service.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to both you and that organization.

2. Description of the Service

Cubelerbeans is a web-based accounting and invoicing platform that enables organizations to manage accounts, journal entries, customers, suppliers, invoices, bills, payments, and related financial reports.

3. Accounts and Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.

4. Subscription, Fees, and Payment

Access to certain features of the Service may require a paid subscription. Applicable fees, billing frequency, and payment terms will be presented to you at the time of purchase or as otherwise communicated to you. Fees are non-refundable except as required by law or as expressly stated otherwise. We may change our fees on a going-forward basis by providing you with reasonable notice.

5. Your Data and Content

You retain all rights to the data, records, and content you or your organization enter into the Service ("Customer Data"). You are solely responsible for the accuracy, quality, legality, and appropriateness of your Customer Data, and for ensuring you have the necessary rights and consents to submit it. We process Customer Data only to provide and support the Service, as described in our Privacy Policy.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or abusive purpose;
  • Attempt to gain unauthorized access to the Service or its related systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;

You may stop using the Service and close your account at any time. To the maximum extent permitted by law, Cubeler shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

12. Indemnification

You agree to indemnify and hold Cubeler harmless from any claims, damages, or expenses arising out of your use of the Service, your Customer Data, or your breach of these Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Quebec, Canada.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting a notice within the Service or updating the "last updated" information. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
